Polotno SDK License Agreement​

The following are the official Polotno SDK License terms. Your use of Polotno SDK is governed by these license terms.

This Software License Agreement (the “Agreement”) is between Lavrton ("Lavrton") and you (either in your capacity as an individual or as a single entity), Licensee of Lavrton's software.

License Types​

Free License​

Polotno SDK free license allows you for the non-commercial use or local development of the software. No charge is applicable for this license.

Commercial License​

For commercial usage, you are required to purchase a license. The Polotno SDK Commercial License enables you to include the Software in your Products. You can acquire this license on https://polotno.com/.

Definitions​

"Software": Refers to Polotno SDK developed by Lavrton.

"Licensee": Refers to the individual or entity that holds a license and is a contracting party to this Agreement.

"Product": Refers to any software, application, or elements that you develop using the Software or Modifications in accordance with this Agreement.

License Grant​

Subject to the terms of this Agreement, Lavrton grants you a non-exclusive, non-transferable license to use the Software.

Ownership​

This is a license agreement and not a sale. Lavrton retains all intellectual property rights in the Software and corresponding source code. All rights not expressly granted under this Agreement are reserved by Lavrton.

You must not remove, modify or interfere with any copyright, acknowledgment, attribution, trademark, warning or disclaimer statement affixed to, incorporated in or otherwise applied in connection with the Software.

Prohibited Uses​

The Software is not to be modified and redistributed without the explicit permission or consideration of a licensing agreement. The Product you develop must not compete directly with the Software, and must have substantially different functionality.

Termination​

Lavrton reserves the right to terminate this Agreement in the event of a breach of any terms. Upon termination, all licenses granted under this Agreement will cease, and you must immediately cease use and distribution of the Software.

Disclaimer of Warranties​

Lavrton makes no warranties or conditions, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement, with regard to the software.

Limitation of Liabilities​

To the extent permitted by law, Lavrton shall not be liable under any legal or equitable theory for any special, incidental, indirect or consequential damages whatsoever, arising out of the use or inability to use the software or the code it produces.

Indemnification​

You agree to indemnify, hold harmless, and defend Lavrton and its owners, officers, agents, and affiliates from and against any and all claims, lawsuits, and proceedings, and all expenses, costs, judgments, damages and other liabilities resulting from such claims, that arise or result from your use of the Software in violation of this Agreement.

Governing Law​

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction where Lavrton is located. You irrevocably submit to the exclusive jurisdiction of the courts in that locale.
